Terms of Service

Scope of Services

We provide done‑for‑you content design, approvals, scheduling, and related creative services. Deliverables and scope are defined by the package you select or a custom statement of work. Add‑ons may be purchased as one‑time or recurring items.

Accounts & Security

• You are responsible for maintaining the confidentiality of credentials.
• You must promptly notify us of any unauthorized access or security incident.
• Do not share accounts or misrepresent identity.

Client Responsibilities

• Provide accurate brand information, assets, and timely approvals.
• Ensure you have rights to any materials you provide.
• Grant posting permissions as needed for scheduled publishing.

Fees & Billing

Plans are billed monthly in advance unless otherwise specified. Custom solutions are quoted based on scope. Late or failed payments may pause work and access. See our Billing Terms for details on renewals, retries, and taxes.

Refunds & Cancellations

Because we allocate production resources quickly after purchase, active periods are generally non‑refundable. You may cancel before your next renewal; service continues through the end of the paid term. See our Refunds & Cancellations policy for details.

Intellectual Property

Upon full payment, you receive a license to use delivered content for your business channels. We may showcase non‑sensitive work samples for portfolio purposes unless you request otherwise in writing.

User Content & Conduct

• Do not upload unlawful, infringing, or harmful materials.
• Do not attempt to disrupt or gain unauthorized access to systems.
• You are responsible for content published to your channels.

Confidentiality

Each party will protect the other’s confidential information and use it only as needed to perform the services. This obligation survives termination.

Non‑Solicitation

During the engagement and for twelve (12) months after, you agree not to solicit for employment or contract any Avyant personnel who worked on your account without prior written consent.

Warranties & Disclaimers

Services are provided “as is” and “as available.” We do not guarantee specific outcomes (e.g., sales, growth). To the maximum extent permitted by law, all implied warranties are disclaimed.

Limitation of Liability

To the fullest extent allowed by law, neither party will be liable for indirect, incidental, or consequential damages. Our aggregate liability for claims arising out of or related to the services will not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Avyant harmless from claims arising out of (i) your content or materials, (ii) your breach of these Terms, or (iii) your unlawful use of the services.

Term & Termination

We may suspend or terminate accounts for violations of these Terms or misuse of the service. You may cancel at any time before the next billing cycle.

Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to conflict‑of‑law principles. Disputes will be resolved in state or federal courts located in Georgia unless otherwise required by applicable law. The parties consent to personal jurisdiction and venue in those courts.

Changes to These Terms

We may update these Terms from time to time. Continued use after changes indicates acceptance of the updated Terms.
